1. General Terms

These Terms of Service (“Terms”) govern all wholesale orders placed by business entities (“Buyers”) with Taizhou Qingkong Leisure Products Co., Ltd. (“Seller”, “We”, “Our”) through sunnyparasol.com. By placing an order, Buyer agrees to these Terms.

2. Order & Payment Terms

2.1 Minimum Order Quantity (MOQ)

• Standard MOQ: 50 pieces per design.

• Custom/OEM orders may require higher MOQ (specified in quotation).

2.2 Pricing & Validity

• Prices are quoted in USD and valid for 30 days.

• Bulk discounts apply to orders exceeding 200 pieces.

2.3 Payment Methods

• 50% deposit required before production.

• Balance paid before shipment via T/T or L/C.

• No shipment will be released until full payment is received.

3. Production & Shipping

3.1 Lead Time

• 15-25 working days after deposit confirmation (standard orders).

• Custom orders may require additional time.

3.2 Shipping Terms

• Standard terms: FOB Ningbo Port.

• EXW, CIF, or DDP available upon request (additional costs apply).

3.3 Inspection

• Buyers may appoint third-party inspectors at our factory with 7 days prior notice.

4. Custom Orders & Intellectual Property

4.1 OEM/ODM Services

• Buyer warrants custom designs/logos do not infringe third-party rights.

• All mold/tooling costs are non-refundable.

4.2 Ownership

• Custom molds remain Seller’s property unless otherwise agreed in writing.

5. Returns & Claims

5.1 Defective Products

• Claims must be filed within 14 days after delivery.

• Seller will replace defective items (subject to evidence).

5.2 Non-Defective Returns

• Custom orders cannot be returned.

• Standard orders may be returned with prior approval (20% restocking fee applies).

6. Liability & Force Majeure

• Seller is not liable for delays caused by:

  • Material shortages

  • Port congestion

  • Natural disasters

• If delays exceed 60 days, Buyer may cancel order for full deposit refund.

7. Governing Law

• These Terms are governed by Chinese law.

• Disputes shall be resolved through arbitration in Ningbo, China.
